1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and Conic Prema ("Company," "we," "our," or "us") regarding your use of our English learning services and website at conicprema.com.
By accessing our website, enrolling in our services, or using any of our educational programs, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.
2. Description of Services
Conic Prema provides professional English language learning services in Canada, including but not limited to:
- One-on-one English tutoring
- Group English classes
- Business English training
- Test preparation (IELTS, TOEFL, etc.)
- Conversation practice sessions
- Intensive English courses
- Online and in-person instruction
- Educational resources and materials
We reserve the right to modify, suspend, or discontinue any service at any time with reasonable notice.
3. Eligibility
To use our services, you must:
- Be at least 16 years of age, or have parental/guardian consent
- Have the legal capacity to enter into binding contracts
- Provide accurate and complete information during registration
- Comply with all applicable laws and regulations
For students under 18, a parent or legal guardian must provide consent and may be required to sign these Terms on behalf of the minor.
4. Registration and Account
4.1 Account Creation
To access certain services, you may need to create an account. You agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Keep your login credentials secure and confidential
- Notify us immediately of any unauthorized use of your account
4.2 Account Responsibility
You are responsible for all activities that occur under your account. We are not liable for any loss or damage arising from unauthorized use of your account.
5. Payment Terms
5.1 Fees and Payment
- All fees are stated in Canadian dollars (CAD)
- Payment is due in advance unless otherwise agreed
- We accept credit cards, debit cards, and bank transfers
- Prices are subject to change with 30 days' notice
- All payments are processed securely through certified payment processors
5.2 Refund Policy
- Cancellation within 48 hours of enrollment: Full refund
- Cancellation before first class: Full refund minus administrative fee ($25)
- Cancellation after first class but within first week: 75% refund
- Cancellation after first week: Pro-rated refund for unused sessions
- No-show policy: No refund for missed classes without 24-hour notice
5.3 Late Payment
Late payments may result in suspension of services and may incur additional fees. Accounts overdue by more than 30 days may be referred to collections.
6. Scheduling and Cancellation
6.1 Class Scheduling
- Classes are scheduled by mutual agreement between student and instructor
- Regular class times are preferred for consistency
- Schedule changes require at least 24 hours' notice
- We will make reasonable efforts to accommodate scheduling requests
6.2 Cancellation by Student
- 24+ hours notice: Class can be rescheduled at no charge
- Less than 24 hours notice: Class fee applies
- Emergency situations: May be considered on a case-by-case basis
6.3 Cancellation by Conic Prema
If we need to cancel a class, we will provide as much notice as possible and offer:
- Rescheduling to a mutually convenient time
- Credit for future classes
- Refund if rescheduling is not possible
7. Student Conduct
Students are expected to:
- Treat instructors and other students with respect
- Arrive punctually and prepared for classes
- Complete assigned homework and practice activities
- Use appropriate language and behavior
- Respect intellectual property rights
- Follow health and safety guidelines
Inappropriate conduct may result in:
- Warning and counseling
- Temporary suspension from classes
- Permanent termination without refund
8. Intellectual Property
8.1 Our Content
All materials, curricula, methods, and content provided by Conic Prema are protected by copyright and other intellectual property laws. Students may:
- Use materials for personal learning purposes
- Make copies for study and homework
- NOT redistribute, sell, or commercially use our materials
- NOT share materials with non-enrolled individuals
8.2 Student Work
You retain ownership of your original work created during classes. However, you grant us permission to:
- Use your work for assessment and feedback purposes
- Reference your progress in anonymized form for quality improvement
- Display exemplary work (with your permission) for educational purposes
9. Privacy and Confidentiality
We are committed to protecting your privacy. Please review our Privacy Policy for details on how we collect, use, and protect your personal information.
We maintain confidentiality regarding:
- Student progress and assessment results
- Personal information shared during classes
- Educational challenges and goals
10. Limitation of Liability
To the maximum extent permitted by law:
10.1 Educational Results
- We cannot guarantee specific learning outcomes or test scores
- Results depend on student effort, attendance, and individual factors
- We provide quality instruction but cannot control all variables affecting learning
10.2 Liability Limitations
- Our total liability is limited to the amount paid for services
- We are not liable for indirect, consequential, or punitive damages
- We are not responsible for technical issues, internet connectivity, or third-party service failures
10.3 Force Majeure
We are not liable for delays or failures in performance due to circumstances beyond our reasonable control, including but not limited to natural disasters, government actions, pandemics, or technical failures.
11. Indemnification
You agree to indemnify and hold harmless Conic Prema, its instructors, and employees from any claims, damages, or losses arising from:
- Your violation of these Terms
- Your misuse of our services or materials
- Your violation of applicable laws or third-party rights
- Your conduct during classes or on our premises
12. Termination
12.1 Termination by Student
You may terminate your enrollment at any time by providing written notice. Refunds will be processed according to our refund policy.
12.2 Termination by Conic Prema
We may terminate your enrollment for:
- Violation of these Terms
- Non-payment of fees
- Inappropriate conduct
- Fraud or misrepresentation
12.3 Effect of Termination
Upon termination:
- Your access to services will be discontinued
- You must return any borrowed materials
- Outstanding fees remain due and payable
- Confidentiality obligations continue
13. Dispute Resolution
13.1 Informal Resolution

13.2 Mediation
If informal resolution fails, disputes may be resolved through mediation conducted in Toronto, Ontario, under the rules of the ADR Institute of Ontario.
13.3 Governing Law
These Terms are governed by the laws of Ontario, Canada. Any legal proceedings shall be conducted in the courts of Toronto, Ontario.
14. Modifications to Terms
We may modify these Terms at any time. Changes will be effective:
- Immediately upon posting for new users
- 30 days after notice for existing students
- Immediately for legal or safety reasons
We will notify you of material changes by:
- Email to your registered address
- Notice on our website
- Direct communication during classes
Continued use of our services constitutes acceptance of modified Terms.
15. General Provisions
15.1 Entire Agreement
These Terms, together with our Privacy Policy and any enrollment agreements, constitute the entire agreement between you and Conic Prema.
15.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
15.3 Waiver
Our failure to enforce any provision does not constitute a waiver of that provision or any other rights.
15.4 Assignment
You may not assign your rights under these Terms. We may assign our rights and obligations with reasonable notice.
15.5 Language
These Terms are written in English. Any translations are provided for convenience only, and the English version governs in case of conflicts.
